Welcome to LedgerLensTM. These Website Terms of Use (“Website Terms”) govern your access to and use of the LedgerLensTM website at http://www.ledgerlens.io/ (“Site”). The Site is owned and operated by The Network Firm Tech & Services, LLC, a Delaware limited liability company (“Licensor,” “we,” “us,” or “our”).

By accessing or using the Site, you agree to be bound by these Website Terms. If you do not agree to these Website Terms, please do not access or use the Site.

We reserve the right to modify these Website Terms at any time. All changes are effective immediately when posted on the Site. Your continued use of the Site following the posting of revised Website Terms means you accept and agree to the changes.

 

2. Accessing the Site

We reserve the right to withdraw or modify the Site, and any service or material provided on the Site, in our sole discretion without notice. We will not be liable if, for any reason, all or any part of the Site is unavailable at any time or for any period.

 

3. Intellectual Property Rights

The Site and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof), are owned by the Licensor, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

You may use the Site only for lawful purposes and in accordance with these Website Terms. You agree not to use the Site:

  • To engage in any other conduct that restricts or inhibits anyone’s use or enjoyment of the Site, or which may harm the Licensor or users of the Site or expose them to liability

 

5. User Contributions

The site may contain forms that can be used to submit information to the Licensor for purposes of obtaining marketing materials, articles, and other information. If you choose to submit information, such as your name, email address, company name, etc., such submission is an acceptance of our Privacy Policies. The Site may contain message boards, chat rooms, personal web pages or profiles, forums, bulletin boards, and other interactive features (collectively, “Interactive Services”) that allow users to post, submit, publish, display, or transmit to other users or other persons (hereinafter, “post”) content or materials (collectively, “User Contributions”) on or through the Site.

All User Contributions must comply with the Content Standards set out in these Website Terms. Any User Contribution you post to the Site will be considered non-confidential and non-proprietary.

  • Promote sexually explicit or pornographic material, violence, or discrimination based on race, sex, religion, nationality, disability, sexual orientation, or age
  • Infringe any patent, trademark, trade secret, copyright, or other intellectual property or other rights of any other person
  • Violate the legal rights (including the rights of publicity and privacy) of others or contain any material that could give rise to any civil or criminal liability under applicable laws or regulations
  • Promote any illegal activity, or advocate, promote, or assist any unlawful act
  • Impersonate any person, or misrepresent your identity or affiliation with any person or organization
  • Involve commercial activities or sales, such as contests, sweepstakes, and other sales promotions, barter, or advertising
  • Give the impression that they emanate from or are endorsed by us or any other person or entity, if this is not the case

 

7. Monitoring and Enforcement; Termination

We have the right to:

  • Remove or refuse to post any User Contributions for any or no reason in our sole discretion
  • Take any action with respect to any User Contribution that we deem necessary or appropriate in our sole discretion
  • Disclose your identity or other information about you to any third party who claims that material posted by you violates their rights
  • Terminate or suspend your access to all or part of the Site for any or no reason, including without limitation, any violation of these Website Terms

 

8. Links from the Website

If the Site contains links to other sites and resources provided by third parties, these links are provided for your convenience only. We have no control over the contents of those sites or resources, and accept no responsibility for them or for any loss or damage that may arise from your use of them.

 

9. Disclaimer of Warranties

THE SITE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. NEITHER THE LICENSOR NOR ANY PERSON ASSOCIATED WITH THE LICENSOR MAKES ANY WARRANTY OR REPRESENTATION WITH RESPECT TO THE COMPLETENESS, SECURITY, RELIABILITY, QUALITY, ACCURACY, OR AVAILABILITY OF THE SITE.

 

10. Limitation of Liability

IN NO EVENT WILL THE LICENSOR, ITS AFFILIATES, OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, THE SITE, ANY WEBSITES LINKED TO IT, ANY CONTENT ON THE SITE OR SUCH OTHER WEBSITES, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

 

11. Indemnification

You agree to defend, indemnify, and hold harmless the Licensor, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to your violation of these Website Terms or your use of the Site.

 

12. Governing Law and Jurisdiction

These Website Terms and any disputes relating hereto shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles. You agree to submit to the personal and exclusive jurisdiction of the courts located in Delaware for the resolution of any disputes arising out of or relating to these Website Terms.

 

13. Waiver and Severability

No waiver by the Licensor of any term or condition set out in these Website Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of the Licensor to assert a right or provision under these Website Terms shall not constitute a waiver of such right or provision.

If any provision of these Website Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Website Terms will continue in full force and effect.

 

14. Entire Agreement

These Website Terms constitute the sole and entire agreement between you and the Licensor regarding the Site and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Site.

Nick is an advisory to the LedgerLens, and uses his experience as a Partner on crypto audits to influence the product roadmap for LedgerLens.

Nick was inspired to contribute to LedgerLens to provide auditors with the tools needed to navigate the unique challenges of crypto auditing, as he experienced the challenges of auditing crypto companies himself.

Nick holds certifications as a Certified Bitcoin Professional (CBP) and Certified Public Accountant (CPA) and is an active member of the Cryptocurrency Certification Consortium, Chamber of Digital Commerce, OSCPA, and AICPA.

Through LedgerLens, Nick continues to contribute to the advancement of transparent, reliable digital asset auditing.

Noah Buxton

CEO of LedgerLens (TNF Tech & Services)

Noah is the CEO of LedgerLens, a suite of crypto audit tools, with over 15 years of experience in audit, IT audit, and regulatory compliance, specializing in digital assets since 2016.

During his time as an IT auditor in public accounting, Noah tackled the challenges of auditing crypto companies—running nodes, extracting blockchain balances, and verifying customer ownership. While he developed solutions within a Top 20 accounting firm, he saw that most auditors lacked these resources, creating barriers to servicing the growing crypto industry.

This realization inspired Noah to create LedgerLens, empowering auditors with the tools needed to serve the crypto space effectively. Having worked with hundreds of digital asset clients, Noah uses his expertise to address key crypto auditing challenges.

Along with creating LedgerLens, Noah contributes to the future of the profession by serving on the AICPA’s Digital Assets Working Group and leading The Digital Chamber’s Accounting Taskforce.

Through LedgerLens, Noah continues to drive innovation and trust in digital asset assurance.
